Eligibility: Sweepstakes is open to all legal U.S. residents who are 18 years of age or older at the time of entry.  Employees, officers, directors of Prosper Marketplace, Inc. (“Sponsor”), its parent, affiliates, subsidiaries, divisions, advertising and promotion agencies, and members of the immediate families of each are not eligible. Void where prohibited. Sweepstakes is subject to all local, state and federal laws and regulations. By entering this Sweepstakes, all entrants agree to fully comply with and be bound by these Official Rules and the decisions of Sponsor, and to fully comply with all federal, state and local laws and regulations. Only one entry is allowed per person, and per Twitter account.  

Term: The Prosper August 2009 Sweepstakes (“Sweepstakes”) begins on or about Monday, August 3, 2009, 4:00 p.m. PT, and ends on Friday, August, 7, 2009, 11:59 p.m. PT (the “Term”).

How To Enter: No purchase necessary to enter or win the prize. There two ways to enter:

1.)   Follow @Prosperloans on Twitter. If you are not a registered user of Twitter, register at www.twitter.com.  If you already follow @Prosperloans on Twitter, you are already eligible. After you are a follower of @Prosperloans on Twitter, tweet the following to your followers: “$500 for 500 followers! Follow @prosperloans and RT to enter to win 1 of 20 $25 GCs http://bit.ly/GBUkR #prosper500”. Then you are automatically entered. Only one entry is allowed per Twitter account.

2.)   You may also enter the sweepstakes by legibly printing your full name, address (including zip code) and date of birth on a piece of paper or post card and mailing to: Prosper August 2009 Sweepstakes, 111 Sutter St., 22^nd Floor, San Francisco, CA 94104.  Entries must be postmarked by Tuesday, August 4, 2009 and received by Saturday, August, 8, 2009. (Each mail-in entry must be mailed separately.) Only one mail-in entry is allowed per person.

Entries that do not fully comply with these Official Rules in all respects are ineligible and void. Sponsor and its affiliated companies and agencies are not responsible for incorrect or inaccurate entry information, human error or technical malfunctions, illegible, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any computer equipment or software or any combination thereof or for postage due mail, lost, stolen, late, misdirected or mutilated entries. All entries become the property of Sponsor, and will not be returned. Sponsor will not accept forged, altered, mechanically reproduced, or facsimile entries.

Conditions of Entry: Neither Sponsor, its respective affiliates, subsidiaries, divisions, advertising and promotion agencies, nor any telephone network or internet service provider are responsible for incorrect or inaccurate transcription of entry information, or for any human error, technical malfunctions, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software, inability to access any Web site or online service, or any other error or malfunction, or late, lost, misdirected or illegible entries.

Prizes: 20 winners will receive electronic cash gift cards in the amount of $25.00. Prizes will be delivered to recipients via email, to the email provided by the winner to Sponsor after the winner is notified of the prize.

No prize transfer or prize substitution, except by Sponsor, who reserves the right to award a prize of equal or greater value due to prize unavailability for any reason.  Taxes not specifically indicated in these Official Rules are the sole responsibility of the winner.

Odds Of Winning: The odds of winning depend upon the number of eligible entries received during the Term.

Drawing: Twenty prize winners will be selected on or about Monday, August 10, 2009, 4:00 p.m. PT by a random drawing from among all eligible entries received. Drawing shall be conducted by Sponsor, whose decisions are final with respect to all aspects of the Sweepstakes. Winner will be notified by Twitter (if Twitter entry) or mail (if mail entry) within approximately 10 days after drawing. If, after a reasonable number of attempts to contact the winner are made and the potential winner does not respond within seven (7) calendar days of initial notification, the  prize will be forfeited and an alternate winner selected from among all eligible entries received during the Term.

Delivery of Prize: Winners must provide a valid email address to Sponsor in order to receive the prize.

Release and Limitation of Liability:  By entering, participants release and hold harmless Sponsor, its agencies, and their respective parent, subsidiaries, affiliates, directors, officers, employees and related entities from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property that may be sustained in connection with the receipt, ownership, acceptance or use/misuse of the prize from or arising out of participation in this Sweepstakes or any Sweepstakes-related activity. Sponsor and its agencies assume no responsibility or liability for (1) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; (2) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (3) any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes; (4) technical or human error which may occur in the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. Sponsor’s computer is the official clock for determining time of receipt of referral entries.

If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process (and/or to take legal action against such individual so as to protect its rights), and/or to cancel, terminate, modify or suspend the Sweepstakes. In such event, Sponsor will award the prize in a random drawing comprised of all eligible entries received prior to and/or after (as appropriate) the action taken by Sponsor and all eligible mail-in entries received or via some other means determined by Sponsor in its sole discretion to be fair, appropriate and consistent with the spirit of these Official Rules. Notice of such action will be posted on www.prosper.com. 

Sponsor and its agencies have neither made nor are in any manner responsible or liable for any warranty, representation or guaranty, expressed or implied, in fact or in law, relating to the prize (or any component of the prize) including but not limited to its quality, merchantability or fitness for the intended purpose; the only warranties being those of the relevant product manufacturer/service provider. 

In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the Authorized Account Holder of the email account associated with the Twitter account of the registered member of www.twitter.com. Authorized Account Holder means the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.     

Any activities, determined by Sponsor, in its sole discretion, to be intended to disrupt or interfere with the proper play of the Sweepstakes or defraud Sponsor in any way will be prosecuted to the fullest extent of the law in addition to resulting in disqualification from Sweepstakes.

Force Majeure: The failure of the Sponsor, its agencies or affiliates to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, act of public enemies, actions of governmental authorities outside of their control (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

Participation in Sweepstakes is subject to the Privacy Policy and Terms of Use of www.prosper.com.  IF YOU DO NOT AGREE TO THE PRIVACY POLICY AND TERMS OF USE OF WWW.PROSPER.COM, DO NOT ENTER THE SWEEPSTAKES ONLINE, PROVIDE ANY PERSONAL INFORMATION ON THE WEB SITE OR OTHERWISE USE THE WEB SITE.

Winner’s List: A winner’s list is available 45 days after the end of the Term by writing to Prosper August 2009 Sweepstakes, 111 Sutter St., 22^nd Floor, San Francisco, CA 94131.
